Zintlr Community Edition Terms of Use
Zintlr is pleased to have you join our constantly growing Community!
As a member ("Community Member/s") of the Zintlr Community ("Community"), you will contribute to the accuracy and upkeep of Zintlr's database by sharing the contact information of your professional network in exchange for extra credits ("Credits").
Before joining Zintlr Community, please carefully read the Community Terms and Conditions of Use ("Terms").
By clicking "Accept" in relation to these Terms of Use (the "Terms " or the "Agreement"), or by registering for, accessing, or using the Zintlr Community Edition software application (the "Application") and/or services ("Services"), you enter into a legally binding agreement with Zintlr Private Limited ("Zintlr", "Us", “Site”, or "We”).
These Terms are an extension of the general Zintlr Terms of Service ("General Terms"), and all applicable provisions of the General Terms apply to the Zintlr Community Edition, with the necessary changes. Changes to the Terms, intellectual property rights, customer obligations, warranties, indemnification, disclaimer of warranties, limitation of liability, governing law, and arbitration are examples of such provisions. You acknowledge that you have read, understand, and agree to be bound by and comply with these Terms by accessing or using any of the Services.
Zintlr Community Edition - License
Upon accepting these Terms, or upon joining or using Zintlr Community Edition, Zintlr will grant you a non-exclusive, non-assignable, and revocable license (“ License”). This license will allow you to use the Services for as long as you remain a member of the Community.
Zintlr Community Edition - Terms
By accepting this Agreement, you authorize Zintlr to access information associated with your registered email account (your basic information, contacts, email header metadata, and email content) when you register for Zintlr Community Edition and use the Services. You agree, understand, and acknowledge that upon granting this permission to Zintlr, and until you revoke it, Zintlr will analyze and retain the above-mentioned information through automated processes. In terms of businesses and business people, Zintlr is only going to extract specific types of information that is stored in your email account, locally or on a remote server, such as name, email address, job title, department, company name, phone numbers, business address(es), website URLs, metadata from email headers, and other types of professional and non-personal details.
In case you have any concerns about granting Zintlr access to such information from your email or have any reason to believe that you are not permitted by your employer to do the same, do not accept these Terms and do not access or use the Services offered by Zintlr. In the event that such concerns arise after permission has been granted, stop using the Services immediately and revoke the permissions granted by revoking the permissions as directed by your email account or email software provider.
Upon granting access permission to Zintlr and on your continued use of the Services, you acknowledge granting permission to Zintlr and its affiliates for the following licenses: (i) a revokable license to access Contact Data that is stored on your email with which you are accessing Zintlr, including your contact list, email signatures, and email headers; and (ii) an irrevocable license for any portion of the Contact Data to be reproduced, distributed, published, performed, derivative works of, or displayed and made available to Zintlr customers, contractors, strategic partners, agents, and service providers if the Contact Data is sold, transferred, assigned, sublicensed, disclosed, or made available to any third party. These licenses granted to Zintlr by you will be worldwide, non-exclusive, perpetual, fully paid-up, and royalty-free. Zintlr reserves the right to sublicense, assign, or transfer such licenses at its sole and absolute discretion.
Zintlr will grant you access to use the Community Edition Service in exchange for access to your email account and Contact Data as described above. With access to Community Edition Service, for as long as you grant permissions to Zintlr and continue to contribute Contact Data, you will be able to access information such as names, job titles, email addresses, and phone numbers, from the Zintlr database (the “Licensed Materials”). By gaining access, you can perform searches across Zintlr's Business Database and unlock contact information for up to 5 credits per month, when available. Upon your revoking the permissions granted by you to Zintlr, all your authorization to access or use the Services will be revoked automatically and immediately without further action by Zintlr.
Zintlr Community Edition - Services
The Services of Zintlr Community Edition are not offered to individual users.
You agree to allow us to automatically access and collect information in your email inbox, specific information in email signature blocks, metadata from email headers, and your contacts in your email contact book, in exchange for using Community Edition. This information may be stored locally in your email account as well as on a remote server. You represent and warrant that you have the right and permission to provide us with this information and that if your email account is owned by your employer, your employer has given you permission to sign up for Zintlr Community Edition. If you do not have that right or authorization, you may not and must not use the Services (if applicable).
When you choose to join Zintlr Community, you expressly authorize Zintlr to access your contacts in your email database, including their names, email addresses, job titles, company names, and phone numbers found in their email headers and signatures through your professional email account linked with Zintlr. You will provide Zintlr access to all contacts in the email database without opting to “remove” specific contacts. The contacts to which you grant access to Zintlr may reach out to Zintlr directly to request their removal from the Database.
The information that you provide to Zintlr will be used by us to expand Zintlr and enrich the Database. Your membership gives Zintlr the right to reproduce, distribute, publish, or display the information collected, including any portion thereof, and to sell, transfer, disclose, or make that information available to any third party, including Zintlr's customers.
Upon signing up as a Community Member, you will receive a certain amount of Credits as a 1-time bonus. Following that, until you are no longer a Community Member, you will receive a certain number of additional credits every month. You will be informed of the credit amount in the offer extended to you before the sign-up. The unused Credits of one month will not roll over to another.
You can cancel your participation in the Zintlr Community Edition at any point from your account settings. Once your participation in the Zintlr Community Edition is canceled, you will not have the access to the Community. Upon opting out of the Community, your shared data from the day you opt out will not be processed. However, the information you gave access to Zintlr before the cancellation will remain on the Zintlr Database, and information from the accounts connected to the Licensee account may be used for research purposes.
Zintlr will only and only access and collect the information as mentioned above and will not store the email content sent to your email account.
On the first day of your connection to the Community and on every month thereafter, Zintlr will conduct validity checks periodically.
You may be removed from Zintlr's Community Members at any time without explanation or compensation, at Zintlr's sole discretion.
Code of Conduct for Zintlr Community Edition
When sign up to become a Community Member, you agree to uphold, promote, and respect the principles of the Code of Conduct of the Zintlr Community Edition. On failure to adhere to the Code, your participation in the Zintlr Community will be terminated immediately.
It is the responsibility of each Community Member to affirm and support the Code of the Zintlr Community Edition. If a Community Member recognizes a breach of the Code, they are obligated to report it swiftly to Zintlr. Those who fail to comply may be subject to membership cancellation, suspension, or other legal action, as applicable.
All Community Members are required to follow all applicable international, federal, and state laws, regulations, and rules (collectively “Laws”). Zintlr abides by all applicable laws, including, but not limited to IT ACT 2000 for India, GGDPR for Europe, and CCPA for California. As a Community Member, you agree to not violate any of the Laws or securities exchange while using any Licensed Materials.
You agree to ensure that you do not violate any law, industry or professional codes or standards, contractual or fiduciary obligations, confidentiality obligations, employer policies, or any other requirement you are bound by when giving Zintlr any Contact Data.
With the Licensed Materials or Services you obtain from Zintlr, you will not transmit any unlawful, harmful, threatening, harassing, libelous, defamatory, vulgar, obscene, or otherwise objectionable material, or material that violates another's privacy or infringes on any intellectual property right, such as patents, trademarks, service marks, trade secrets, copyright, or any other proprietary rights.
As a Community Member, you agree to not impersonate any individual or entity or falsely state or otherwise misrepresent your affiliation with an individual or entity.
As a Community Member, you agree to not violate or attempt to violate the security of any of the Services. You agree that you will not: (i) log in to a server or account that you are not authorized to access; (ii) attempt to test, scan, probe, or hack the vulnerability of the Site or any network used by the site; (iii) breach security, encryption, or other authentication measures; (iv) attempt to interfere with the Site by overloading, flooding, pinging, mail bombing, or crashing it; (v) reverse engineer, decompile or disassemble any portion of the Services; (vi) “scrape” information from the Services; (vii) use or attempt to use any engine, software, tool, agent, or other device or mechanism to navigate or search any portion of the Site, other than the search engine and search agents available from Zintlr on the Site and generally available to third party web browsers (e.g., Google Chrome, Microsoft Internet Explorer, and Mozilla Firefox).
The information that you give Zintlr is true, accurate, complete, and current. In addition, you must maintain and update this information as necessary to keep it true, accurate, complete, and current.
Proprietary Rights
You acknowledge that as between you and Zintlr, Zintlr and/or its licensors are the owners of the Services and Licensed Materials, including all software and other technology provided or used in connection with the Services, as well as the contents, design, layout, functions, appearance, and other intellectual property composing or contained within the Services, including all copyrights, trademarks, service marks, trade secrets, patents, and other intellectual property rights underlying the Services.
Without limiting the foregoing, Zintlr will maintain all rights, title, and interest in and to the compiled biographical and business data as well as all other materials available through the Services, such as news articles, company summaries, company descriptions, people summaries, and contact information. You will not acquire ownership of any of the Licensed Materials because Zintlr will. Any additional copyright warnings or limitations in any content you access through the Site are your responsibility.
Service Provisions
Zintlr reserves the right to make changes or improvements in the Services at any time with or without notice.
Except as required by applicable law, Zintlr shall not be liable for any failure to delete or delay in removing any harmful, inaccurate, illegal, or otherwise objectionable content submitted by or on behalf of third parties.
Any loss or harm brought on by the whole or partial loss of any data you submit through the Services shall not be the responsibility of Zintlr. A number of factors, such as hardware failures, software flaws, or connectivity problems, can result in the loss or corruption of data. Zintlr advises that you frequently back up your data onto storage devices, which are unrelated to Zintr.
You acknowledge and agree that Zintlr makes commercially reasonable attempts to make the Services available around-the-clock, but that Zintlr shall not be responsible for any service interruptions, regardless of their duration.
Representations, Warranties, and Indemnification
The period of this agreement will begin when you accept these terms for the first time or otherwise register for, access, or use the services, and it will last until either party terminates it, but your license may end sooner if certain conditions are met. This Agreement may be terminated at any time by any party without giving the other party prior notice. In the event that Zintlr terminates this Agreement by denying you access to the Service, Zintlr will immediately stop accessing the Contact Data. By deactivating your account, you may revoke these Terms at any time, in which case you agree to stop using the Services. The License will automatically expire upon termination of this agreement for any reason, and you must stop using the Services at once, including the Licensed Materials.
By using the Application and Services, you promise that no information you submit will infringe on the rights of any third party or contain any unlawful material, including plagiarism or libel.
You promise and warrant that you are at least 18 years old.
You promise that if you are using the Services on behalf of your employer, you have permission from your employer to sign up for the Community Edition and share the Contact Data with Zintlr. You also promise that you are not breaking any rules or regulations by doing so.
You agree to protect Zintlr and its affiliates from any legal claims or costs that may arise as a result of your breach of these Terms or your failure to fulfill the promises you made in these Terms. You also agree to help defend against any such claims if necessary.
Disclaimer
YOU ACCEPT ALL RESPONSIBILITY AND RISK FOR USING THE SERVICES. THE SERVICES ARE PROVIDED "AS IS," WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ZINTLR SPECIFICALLY DENIES ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. ZINTLR DOES NOT ASSUME ANY LEGAL LIABILITY OR RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.
"ZINTLR IS NOT LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT MAY ARISE FROM YOUR USE OF, DELAY IN USING, OR INABILITY TO USE THE SERVICES. ZINTLR'S LIABILITY FOR ANY DIRECT DAMAGES IS LIMITED TO THE FEES YOU HAVE PAID FOR THE SERVICES FOR THE CURRENT PERIOD. SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. IF THIS LIMITATION OF LIABILITY OR THE EXCLUSION OF WARRANTY IS DEEMED INAPPLICABLE OR UNENFORCEABLE FOR ANY REASON, ZINTLR'S MAXIMUM LIABILITY FOR ANY TYPE OF DAMAGE IS LIMITED TO $50 or equivalent value in INR.
Changes, Terms, and Termination
These Terms begin when you first accept them or register for, access, or use the Services, and continue until they are terminated by either party. Either party can terminate these Terms at any time without prior notice. Zintlr may terminate these Terms by ending your access to the Service, and you must stop using the Services and the Licensed Materials immediately. You can terminate these Terms at any time by uninstalling the Application, at which point you agree to stop using the Services.
Zintlr can change these Terms at any time, but they will only become effective and binding after Zintlr provides notice of the changes and you first use the Services after the changes are posted. The changes will only apply to your use of the Services after they become effective. If you find these Terms unacceptable and do not agree with them at any time, you must stop accessing the Services and uninstall or deactivate your account.
Contracting Party, Governing Laws, and Jurisdiction
For all Licensees located in or outside India, “Zintlr” means Zintlr Pvt. Ltd., a Private Limited company located at No. 7, 7th Cross, Hebbal Ganganagara Layout, Ganganagar, RT Nagar, Bengaluru - 560032, India.
"If an issue arises under these Terms then these Terms are governed by the laws of the Indian Government solely through the courts of Bangalore, India and in accordance with IT ACT 2000.
Miscellaneous
Relationship. These Terms and your use of the Services do not create any joint venture, partnership, employment, fiduciary, or agency relationship between you and Zintlr.
Authority. The person accepting these Terms on behalf of each party promises that they have been authorized to do so and bind their respective party to these Terms. These Terms will be effective from the date they are accepted by you.
Entire Agreement with Community Members. These Terms represent the entire agreement between Zintlr and community members regarding the community services, and they supersede any previous understandings, statements, or representations about these specific services, whether electronic, oral, or written. However, it is important to note that these Terms do not supersede or replace the general Terms and Conditions that apply to all users of Zintlr's services.
Assignment and Waiver. Zintlr can assign its rights under this Agreement without your consent. You cannot assign your rights under this Agreement to anyone else without Zintlr's written consent. Any waivers of obligations or rights by either party must be in writing and signed by the party against whom the waiver is being enforced in order to be effective.
Equitable Relief. If you violate any of these Terms, Zintlr can seek monetary damages and other forms of equitable relief as appropriate. If any provision of these Terms is found to be invalid or unenforceable, it shall not affect the validity and enforceability of the remaining provisions. All other parts of the agreement shall remain in full force and effect.
Severability. If any clause in this Agreement is unenforceable or invalid, it will not affect the enforceability or validity of any other clause. The unenforceable or invalid clause will be treated as if it has been removed from this Agreement. The Agreement will be interpreted and enforced as if it did not include the unenforceable or invalid clause.
Legal Expenses. If one party brings a legal action against the other party and wins, they are entitled to be reimbursed for their legal expenses, including court costs and reasonable attorneys' fees, in addition to any other rights or remedies they may have.
Construction. The titles and subtitles in these Terms are for convenience only and are not part of the interpretation of these Terms. Any use of the phrase "including" or variations of it in these Terms means "including, but not limited to."
Notices. Notices intended for you, rather than all users of the Services, may be sent to the most recent email address on file with Zintlr.
